Job Description

National Law firm has a need for a Finance Attorney. This is an exciting opportunity to work on a wide range of matters related to disclosure obligations under federal securities laws, compliance with listing standards, interactions with the SEC, and corporate governance needs. 

What Your Day May Look Like:

• Advise public company clients on their day-to-day disclosure obligations under federal securities laws.
• Assist clients in complying with applicable listing standards of major U.S. exchanges.
• Provide advice on executive and director compensation and related disclosures.
• Work on capital markets transactions, including primary and secondary equity offerings, high-yield debt offerings, and M&A transactions.
• Collaborate with the team on joint ventures, capital markets offerings, and other transactions.
• Stay informed on developments in securities laws, corporate governance, and executive compensation, advising clients on strategic trends.
• Assist clients with risk mitigation efforts and provide preparatory services for corporate governance and compliance.

Qualifications:

• JD from an ABA-accredited law school.
• At least 2-5 years of experience in advisory work.
• Understanding of executive and director compensation and related disclosures.
• Experience in offering work, such as equity offerings, high-yield debt offerings, and M&A is a plus.
• Strong communication and client management skills.
• Ability to work collaboratively in a team environment and across various industries.
